1. Acceptance of Terms

By accessing or using the services provided by Ogma Consulting Pvt Ltd ("Ogma", "we", "us", or "our"), you ("the user" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, please discontinue use of our services immediately.

2. Use of Services

Our services are provided for lawful purposes only. You may not use our services to engage in any activity that is illegal under applicable Indian law, harmful to others, or that violates the rights of any person or entity. This includes unauthorised access to systems, distribution of harmful content, or any activity that disrupts our operations or those of third parties.

3. Intellectual Property

All content provided by Ogma — including text, images, logos, reports, and software — is protected by applicable copyright, trademark, and intellectual property laws of India. You may not reproduce, modify, distribute, or create derivative works from any part of our services without express written permission from Ogma.

4. User Responsibilities

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. Ogma reserves the right to suspend or terminate access for any account found to be in violation of these Terms or any applicable law.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Ogma shall not be liable for any indirect, incidental, consequential, or special damages arising from or in connection with the use of our services. Our services are provided "as is" without warranties of any kind, express or implied.

6. Privacy Policy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in accordance with the Digital Personal Data Protection Act, 2023 (DPDPA). By using our services, you consent to our data practices as described therein.

7. Prepaid Credits, Billing and Refunds

Prepaid credits for Ogma’s AI Gateway and other metered services are sold as a supply of service at the time of purchase, not as an advance. A tax invoice is issued at the time of payment and GST is charged in accordance with the Central Goods and Services Tax Act, 2017. You are responsible for providing accurate billing details, including a valid GSTIN where you are registered; an invoice raised against details you supplied cannot be reissued to change the registration it was billed to.

Refunds. A refund may be requested within two (2) days of the invoice date, and only against credits that remain unconsumed. After that period credits are non-refundable. Where a refund is approved, the money is returned to the original payment method and the corresponding tax invoice is cancelled, so no GST liability arises on either side. Consumed credits are deducted from the refundable amount. Credits do not expire and remain available on your account until consumed. They carry no cash value, are not transferable between accounts, and cannot be exchanged for any other service. Nothing in this clause limits any right you may have under applicable consumer protection law.

Where a service is unavailable through our fault for a sustained period, or where credits are consumed as a result of a defect on our side, contact us and we will assess a discretionary credit adjustment irrespective of the period above.

8. Termination

Ogma reserves the right to terminate your access to our services at any time, with or without cause, and without prior notice. Provisions of this agreement that by their nature should survive termination — including intellectual property rights, limitation of liability, and governing law — shall continue in full force and effect.

9. Changes to Terms

Ogma may update these Terms of Service at any time. The updated version will be posted on this page with a revised date. Continued use of our services after any changes constitutes your acceptance of the updated terms.

10. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from the use of our services shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.
